1. Purpose and scope
These General Terms and Conditions (hereinafter the “GTC”) govern all services provided by Voren Sàrl, Quai Laval 7, 1898 Saint-Gingolph (Valais), Switzerland, company identification number (UID) CHE-392.598.647 (hereinafter “Voren”), to its clients (hereinafter the “client”). Any order, subscription or acceptance of a quote constitutes unreserved acceptance of these GTC. They take precedence over any conflicting terms of the client, unless Voren has expressly agreed otherwise in writing.
2. Services
Voren offers two types of services:
a. À-la-carte services, based on a quote
Design and development of websites and web platforms, search engine optimisation (SEO), logo and visual identity design, content production, and related services. The scope, deliverables and price of each project are set out in a quote provided to the client before work begins.
b. Website care (recurring services)
Website care is a monthly service for the upkeep, monitoring and continuous improvement of the client’s website, offered in three tiers:
- Website Health (Sérénité): monitoring and upkeep of the website. Content changes are included up to thirty (30) minutes per month.
- Website Optimization (Performance): includes the Website Health tier and adds three (3) improvements delivered per month.
- Growth Engine (Croissance): includes the previous tiers and produces deliverables (pages, content) to a volume defined in advance.
These limits define the scope included in each tier. Redesigns and major version upgrades are excluded from the plans and are invoiced separately, based on a quote.
Website care and SEO services constitute an obligation of means (best efforts), not an obligation of result. Voren does not guarantee any quantified result, in particular with regard to search engine rankings, traffic volume or the number of enquiries or conversions. Voren deploys the appropriate professional means and reports on the results achieved with full transparency.
3. Formation of the contract
Depending on the service, the contract is formed by the client’s written acceptance of the quote, or by the online subscription to a website care tier. The client acknowledges having read these GTC when concluding the contract.
4. Prices
The applicable prices are those stated in the accepted quote, according to the tier or services chosen. They are expressed in Swiss francs (CHF) and are exclusive of VAT.
Voren Sàrl is not currently subject to VAT; VAT will be added once the company becomes liable for it.
5. Invoicing and payment
Website care services are invoiced monthly in advance. À-la-carte services are invoiced according to the terms set out in the quote. Unless otherwise stated, invoices are payable within thirty (30) days of their date of issue.
If payment is not made within this period, the client is in default without a reminder, and default interest of 5% per annum is due by operation of law, in accordance with Article 104 of the Swiss Code of Obligations (CO). Voren reserves the right to suspend its services in the event of late payment.
6. Term and termination
Website care is concluded for an initial term of three (3) months. At the end of this period, the contract is tacitly renewed from month to month. Either party may terminate it effective at the end of a month, subject to thirty (30) days’ written notice (by post or by email).
À-la-carte services end upon delivery of the work agreed in the quote.
7. Client obligations
The client undertakes to provide, in good time, the access, information and content required to perform the services, and to guarantee that they are accurate and lawful. The client retains control of its hosting and its domain name, which remain its property at all times.
8. Intellectual property
The rights to the deliverables produced specifically for the client are transferred to the client once all sums due have been paid in full. Until full payment, Voren remains the holder of all rights to the deliverables. The tools, methods, know-how and generic components developed or held by Voren remain its exclusive property.
9. Liability
Voren’s liability, for all types of damage combined, is limited to the amount actually paid by the client for the service concerned during the three (3) months preceding the event giving rise to the damage. To the fullest extent permitted by law, indirect or consequential damage is excluded, in particular loss of turnover, profit, clientele, data or reputation.
Voren does not guarantee the uninterrupted availability of websites or services, which may experience interruptions due to maintenance, to the client’s hosting or to third parties.
10. Data protection
The processing of personal data is described in the privacy policy, which forms an integral part of these GTC.
11. Force majeure
Neither party shall be held liable for a failure to perform its obligations resulting from force majeure, meaning any unforeseeable and insurmountable event beyond its reasonable control. The affected obligations are suspended for the duration of the event.
12. Governing law and jurisdiction
These GTC are governed by Swiss law, to the exclusion of conflict-of-laws rules. The exclusive place of jurisdiction for any dispute is the registered office of Voren Sàrl, in the canton of Valais, subject to any mandatory place of jurisdiction provided by law.
